SPW Industrial – Master Terms & Conditions of Sale and Return Policy

Effective Date: January 1, 2026

These Terms and Conditions govern all sales made by SPW Industrial. By purchasing products from SPW Industrial, the buyer agrees to these terms.


1. Acceptance of Terms

By placing an order with SPW Industrial through the website, email, phone, or purchase order, the buyer confirms that they have read and accepted these Terms and Conditions.

SPW Industrial reserves the right to update these terms at any time without prior notice.


2. Product Condition and Nature of Inventory

SPW Industrial sells industrial, surplus, refurbished, and previously used equipment sourced from manufacturers, distributors, liquidations, and secondary markets.

Unless explicitly stated otherwise:

Products may include:

  • cosmetic wear

  • surface scratches

  • marks from prior installation

  • replacement packaging

These conditions do not necessarily affect the functionality of the equipment.


3. Product Testing

When possible, SPW Industrial performs limited testing which may include:

  • power-on verification

  • basic operational checks

  • visual inspection

Full manufacturer-level testing may not always be possible.

Unless stated otherwise in writing, products should not be assumed to have undergone full functional or calibration testing.


4. Calibration and Certification

Laboratory, measurement, or medical equipment may require calibration.

Unless explicitly stated:

  • calibration certificates are not included

  • certification must be obtained by the buyer if required


5. Buyer Responsibility

The buyer is responsible for verifying:

  • product compatibility

  • system requirements

  • power specifications

  • required accessories

  • integration with existing equipment

SPW Industrial is not responsible for compatibility issues with the buyer’s systems.


6. Pricing and Payment

All prices are listed in United States Dollars (USD).

SPW Industrial reserves the right to:

  • correct pricing errors

  • adjust prices without notice

  • cancel orders affected by pricing mistakes

Orders may require payment in full prior to shipment unless credit terms are approved.


7. Large Orders

Orders exceeding $5,000 or bulk purchases of multiple units may be classified as Large Orders.

Large Orders may require:

  • prepayment

  • deposits

  • supplier procurement commitments

Large Orders may be non-cancelable and non-returnable once processing or sourcing has begun.

If a return is approved for a Large Order, additional restocking fees may apply.


8. Custom and Special Orders

Items that are:

  • specially sourced

  • custom configured

  • built-to-order

  • bulk procurement items

  • special manufacturer orders

are considered Custom Orders.

Custom Orders are non-cancelable and non-returnable once procurement has begun.


9. Order Cancellation

Orders may be canceled only before procurement or shipment begins.

If SPW Industrial has already sourced or allocated inventory, cancellation may be denied or subject to cancellation fees.

Cancellation fees may range from 15% to 50% of the order value depending on supplier commitments.


10. Shipping

Shipping costs are calculated separately and added to the order.

Delivery timelines are estimates and are not guaranteed.

SPW Industrial is not responsible for delays caused by:

  • freight carriers

  • customs processing

  • weather conditions

  • supply chain disruptions


11. Freight Deliveries

For freight shipments, buyers must inspect deliveries upon arrival.

If damage is visible:

  1. note damage on the delivery receipt

  2. photograph the packaging and product

  3. notify SPW Industrial within 24 hours

Failure to report freight damage promptly may affect the ability to file claims.


12. Title and Risk of Loss

Ownership and risk of loss transfer to the buyer when the shipment is delivered to the carrier.

Buyers are responsible for filing freight damage claims unless otherwise agreed.


13. Serial Number and Fraud Protection

SPW Industrial records serial numbers and identifying markings before shipment.

Returned products will be inspected to verify:

  • serial number matches

  • components have not been swapped

  • security seals remain intact

Returns that show evidence of tampering may be rejected.


14. Return Policy

Returns must be requested within 30 days of delivery.

To qualify for return:

The item must:

  • be unused

  • be uninstalled

  • be in original condition

  • include all accessories

  • include original packaging when available

An RMA (Return Merchandise Authorization) must be obtained before returning any product.

Returns without an RMA may be refused.


15. Restocking Fees

Approved returns may be subject to restocking fees.

Typical restocking fees:

Order Type Fee
Standard orders    up to 25%
Large orders    up to 35%
Special handling items    up to 50%

Shipping costs are non-refundable.

Customers are responsible for return shipping costs.


16. Refund Processing

Once returned items are received and inspected:

Refunds will be issued within 7 business days to the original payment method.

Refunds may be adjusted based on item condition and applicable restocking fees.


17. Warranty Disclaimer

Unless explicitly stated in writing, all products are sold:

“AS IS” and “WITH ALL FAULTS.”

SPW Industrial disclaims all warranties including:

  • merchantability

  • fitness for a particular purpose

  • manufacturer warranties unless specifically included


18. Limitation of Liability

SPW Industrial shall not be liable for:

  • lost production

  • lost profits

  • loss of revenue

  • labor costs

  • installation costs

  • consequential damages

Maximum liability shall not exceed the purchase price of the product.


19. Indemnification

The buyer agrees to indemnify and hold harmless SPW Industrial from any claims, damages, losses, or expenses arising from:

  • installation or use of products

  • modification of products

  • integration of products into the buyer’s systems

  • failure to follow manufacturer instructions

  • injury or property damage related to product use


20. Purchase Order Terms Override

Any purchase order or buyer document submitted shall be considered for administrative purposes only.

Any conflicting terms are expressly rejected unless agreed to in writing by SPW Industrial.

All sales are governed solely by SPW Industrial Terms and Conditions.


21. Chargebacks and Payment Disputes

Customers agree to contact SPW Industrial before initiating payment disputes.

Unauthorized chargebacks may result in:

  • suspension of purchasing privileges

  • debt collection actions

  • legal claims to recover unpaid balances


22. Dispute Resolution

All disputes arising from purchases shall be resolved through binding arbitration rather than court proceedings.

Arbitration shall take place in California.

The arbitration decision shall be final and binding.


23. Class Action Waiver

Customers agree that disputes shall be resolved individually.

Customers waive the right to participate in class-action lawsuits against SPW Industrial.


24. Governing Law

These Terms shall be governed by the laws of the State of California.

Any legal proceedings shall occur in California.
